PASB GROUP WHISTLEBLOWING POLICY NOTICE

 

Permodalan ASSAR Sdn Bhd and its group of companies (“PASB Group”) are committed to conduct its business and operations to the highest standard of accountability, integrity, transparency, professionalism and ethics.

As part of this commitment, PASB Group has in place the Whistleblowing Policy & Procedures (“the Policy”) to provide a formal and confidential recourse for disclosure of any Improper Conduct by any person who intends to report and disclose, in good faith, against any employee or director of PASB Group or associated person and/or third party related to the PASB Group, based on his reasonable belief that the said person has committed, is engaging or is preparing to engage in any Improper Conduct within PASB Group.

Such Improper Conduct may include but not limited to the following:

  1. Fraud, 
  2. Bribery and corruption; 
  3. Abuse of Power; 
  4. Conflict of Interest; 
  5. Blackmail; 
  6. Breach of trust, 
  7. Theft or embezzlement; 
  8. A serious breach of fundamental internal policies and procedures; 
  9. Sexual harassment; and 
  10. Concealment of any or a combination of the above.

Reporting Channels

The whistleblower may make a report and disclosure of Improper Conduct by submitting a duly completed prescribed Whistleblowing Form (via a sealed envelope which shall be marked as “Strictly Confidential”) to the Integrity Officer through the communication channels as set out below and provide sufficient details which include the following:

  1. description of the Improper Conduct; 
  2. name of the person that has committed or engaged or is preparing to engage in any Improper Conduct; 
  3. the date and location of the incidence; and 
  4. supporting documents or evidence in relation to the alleged Improper Conduct.

However, if the alleged Improper Conduct are in relation to the Integrity Officer or the Senior Management or any Board of Director of PASB Group or if the whistleblowers believe that there has been cover up or believe they are being penalised or subjected to Detrimental Action in any way for whistleblowing, they may forward the Whistleblowing Form and/or the Detrimental Action Complaint Form and provide sufficient details directly to the Chairman of the Group Nomination and Remuneration Committee via a sealed envelope marked as “Strictly Confidential” for further action.

Whistleblower Protection

Whistleblowers shall be accorded with a protection from any detrimental action, unfair treatment, severe repercussion and retaliation in any form for reporting any Improper Conduct committed or about to be committed.

In furtherance of the above, the Whistleblower Protection may be revoked, among others if:

  1. the whistleblower himself has participated in the Improper Conduct disclosed; or 
  2. the whistleblower willfully made in his disclosure of the Improper Conduct a material statement which he knew or believed to be false or did not believe to be true; or 
  3. the disclosure of the Improper Conduct is frivolous or vexatious; or 
  4. the disclosure of the Improper Conduct is made solely or substantially with the motive of avoiding dismissal or other disciplinary action.
